Grace is a general commercial lawyer working across private and public mergers and acquisitions, equity and debt capital markets, investment funds, property, capital structuring, and transaction disputes.
Known for her meticulous attention to detail and efficient delivery of practical advice to clients, Grace ensures that she assists her clients to obtain their commercial objectives.
Grace’s experience includes drafting and reviewing documentation relevant to a range of transactions, such as company constitutions, shareholder and unitholder agreements, share purchase and asset sale agreements, resolutions of members and directors, employment option plans, non-disclosure agreements, fund compliance plans, and various other documents.
Grace has assisted with the following:
- Advising Para Bellum Solutions Pty Ltd on its acquisition of Logi-Tech Pty Ltd, which strengthened both businesses to deliver cyber-secure consulting and technology solutions;
- Preparing the directors’ resolutions and share applications and certificates required to implement equity raises;
- Conducting the searches and reviews required to prepare a due diligence report for a client’s proposed sale or purchase of a business;
- Providing advice to a prominent business entering into a commercial contract on any insurance and indemnity considerations;
- Drafting an Australian Financial Services Licence (AFSL) compliance plan, inclusive of all legally relevant policies such as the anti-money laundering and counter-terrorism financing (AML/CTF) policy; and
- Advising international clients in relation to their directors’ duties including financial reporting and board meeting duties, as well as prominent clients on how to avoid potential insider trading claims.
As a Bachelor of Laws and Bachelor of Health & Medical Sciences double degree graduate from the University of Adelaide, of which a period of that time was spent studying law abroad at the University of Exeter in England, Grace has insightful, extensive, and varied knowledge from a variety of disciplines.
Grace is a strong believer of both giving back and paying it forward. She was a member of the Adelaide University Law Students’ Society (AULSS) for several years during her tertiary studies, and has volunteered in collaborations with multiple organisations such as The Smith Family and SA State Emergency Services.
